– Content creation and marketing
– Analytics and reporting
– Any other services as mutually agreed upon

Client Responsibilities

The Client agrees to:

– Provide all necessary information, materials, and access required for the Agency to perform the services.
– Review and approve deliverables in a timely manner.
– Make timely payments as per the agreed payment schedule.
– Notify the Agency of any changes or issues that may affect the project.

Failure to fulfill these responsibilities may result in delays or additional charges.

Payment Terms

– Fees: The Client agrees to pay the Agency the fees outlined in the proposal or contract.
– Payment Schedule: Payments are due as per the agreed schedule (e.g., upfront, milestones, or monthly).
– Late Payments: Late payments may incur a penalty fee of [X]% per month or result in suspension of services.

Limitation of Liability

  • The Agency will not be liable for any indirect, incidental, or consequential damages arising from the use of its services.
  • The Agency’s total liability for any claim shall not exceed the total fees paid by the Client for the specific service in question.

Termination

– By the Client: The Client may terminate the agreement with written notice. Any unpaid fees for work completed will remain due.
– By the Agency: The Agency may terminate the agreement if the Client fails to meet their obligations (e.g., non-payment, lack of cooperation).
– Effect of Termination: Upon termination, the Client will receive all completed work up to the termination date, subject to full payment.

Amendments

These Terms and Conditions may be updated or amended at any time. The Client will be notified of any changes, and continued use of our services constitutes acceptance of the revised terms.

Governing Law
